By purchasing a Speaker Package for the Women With Impact Summit (the “Summit”), you (“Speaker”) agree to the following terms and conditions:

1. Package Options and Fees

The available Speaker Packages are as follows:

• Leads Package: $1,500 — 20-minute speaking slot.
• Sales From Stage Package: $3,000 — 20-minute conversion-structured speaking slot.
• Sponsor Package: $10,000 — includes a premium speaking slot with full sponsor benefits.

All fees are non-refundable under any circumstances. By purchasing, you acknowledge and accept this policy. Prices are subject to change. Please see package details listed below.

2. Non-Refundable Payment Policy

All Speaker Package fees are final. Refunds will not be issued for any reason.

In the event of a chargeback, the Speaker agrees to be liable for liquidated damages in the amount of $10,000, which may be pursued through legal action. This amount represents a reasonable estimate of the losses and damages the Summit organizers would incur from such an event, including but not limited to: administrative costs, legal fees, reputational harm, disruption of operations, chargeback penalties, and staff time.

Initiating a chargeback without first attempting formal resolution constitutes a material breach of this agreement.

By completing your purchase, you:

• Acknowledge this resolution process,
• Waive your right to dispute this clause after payment, and
• Understand that failure to follow this process will result in the enforcement of the $10,000 liquidated damages clause.

Stripe, our payment processor, maintains a timestamped record of your transaction, including your affirmative action to accept these Terms and Conditions prior to checkout. This constitutes legally binding agreement and evidence of your full consent.

3. Marketing and Promotional Materials

Speakers are required to:

• Use only the marketing materials and media kits provided by the Summit team.
• Adhere to the promotion schedule and guidelines provided.

Speakers are strictly prohibited from creating or using unauthorized marketing materials, including altering Summit-provided materials or creating new graphics.

If a Speaker uses unauthorized materials, their speaking spot will be forfeited, and no refunds will be issued.

4. Promotion Requirements

By purchasing a Speaker Package, you agree to actively promote the Summit using the provided materials. Failure to fulfill promotion requirements will result in the forfeiture of your speaking spot with no refund.

5. Use of Speaker Content

By participating in the Summit, you grant the Summit organizers permission to:

• Use your talk, images, talk title, and related content for marketing, promotional, and educational purposes, indefinitely.
• Use your likeness, name, and content across all Summit materials, including but not limited to social media, emails, and website promotions.

The Summit organizers are not obligated to provide a copy or recording of your talk. However, Sales From Stage and Sponsor Speakers may receive a digital link to download their talk for personal use if requested.

6. Speaker Spot Forfeiture

A Speaker may forfeit their spot without refund under the following conditions:

• Failure to promote the Summit as per the agreed schedule and guidelines.
• Use of unauthorized marketing materials or alteration of provided materials.

7. No Guarantees

The Summit does not guarantee a specific number of attendees, leads, or sales as a result of participation. Speaker participation is voluntary and intended to provide visibility and promotional opportunities.

8. Liability and Indemnification

By agreeing to participate in the Summit, the Speaker releases and indemnifies the Summit organizers from any and all claims, liabilities, or damages arising from their participation, marketing, or any related activity.

9. Legal Compliance

This agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws principles.

Any legal actions, proceedings, or disputes arising out of or relating to this agreement that are not subject to arbitration under Section 11 shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and both parties hereby consent to the jurisdiction and venue of such courts.

The Speaker agrees that they have had the opportunity to consult with legal counsel prior to agreeing to these terms.

10. Public Statements and Non-Disparagement

By agreeing to these Terms, the Speaker agrees not to make or publish any false, defamatory, or misleading statements (publicly or privately) about the Summit, its organizers, or affiliated brands.

This includes but is not limited to statements on social media, in public forums, or in private groups or chats that may harm the reputation or credibility of the Summit or its organizers.

Violation of this clause may result in legal action for reputational harm, and the Summit reserves the right to seek damages as allowed by law.

11. Dispute Resolution and Arbitration

In the event of a dispute not resolved through the formal communication process defined above, both parties agree to resolve the matter through binding arbitration under the rules of the American Arbitration Association.

This arbitration shall take place in Clark County, Nevada. Each party will bear its own legal fees unless otherwise awarded by the arbitrator.

The Speaker agrees not to initiate a lawsuit, file a chargeback, or join a class action lawsuit without first complying with the formal resolution and arbitration process outlined in these Terms.

12. Final Acknowledgment and Deliverables Clause

By proceeding with your purchase, you acknowledge and agree to abide by these Terms and Conditions. Failure to comply with any of the terms will result in forfeiture of your speaker spot without refund.

The Speaker acknowledges that fulfillment of all deliverables is contingent upon their participation and timely completion of all required submissions, scheduling, and communication.

Failure to engage, respond, or provide assets by the requested deadlines does not entitle the Speaker to refunds or additional compensation.

These Terms constitute the entire agreement between the Speaker and the Summit organizers.

13. Confirmation of Fulfillment Upon Participation

By speaking in the Summit, the Speaker acknowledges that the agreed-upon terms and deliverables have been fulfilled and waives any right to initiate a refund or chargeback after participation.
